CONTRIBUTOR ASSIGNMENT AGREEMENT
1. parties This Contributor Assignment Agreement ("Agreement") is entered into between BOUNDLESS GAMES, LLC, a Delaware Limited Liability Company ("Company"), and the individual or legal entity identified in the signature block below ("Contributor").
2. Background The Company manages the software project currently known as Gaia or Fable Table ("Project"). The Contributor wishes to voluntarily contribute source code, documentation, or other original works ("Contributions") to the Project.
3. Assignment of Copyright Contributor hereby assigns, transfers, and conveys to the Company all right, title, and interest worldwide in and to the Contribution. This assignment includes, but is not limited to:
(a) All copyrights and moral rights;
(b) The right to register copyrights in the Company's name;
(c) The right to enforce the copyrights against third parties. Result: The Company becomes the sole legal owner of the Contribution.
4. Grant of Patent License To the extent the Contribution contains any patent claims licensable by Contributor, Contributor grants the Company a perpetual, irrevocable, non-exclusive, worldwide, royalty-free patent license to make, use, sell, offer to sell, import, and otherwise transfer the Contribution.
5. License Back to Contributor The Company hereby grants Contributor a non-exclusive, royalty-free, perpetual, worldwide license to us and display the Contribution for Contributor’s own personal or non-commercial purposes (including use in a personal portfolio).
6. Volunteer Status & Waiver (No Employment) Contributor explicitly acknowledges and agrees that:
(a) Volunteer Nature: The Contribution is provided voluntarily and without expectation of payment.
(b) No Compensation: Contributor waives any right to wages, salary, stipends, benefits, equity, or compensation of any kind.
(c) No Relationship: This Agreement does not create an employment, agency, partnership, or joint venture relationship. Contributor is not an employee of the Company and is not entitled to Fair Labor Standards Act (FLSA) protections or workers' compensation.
7. Representations Contributor represents that they are legally entitled to grant this assignment and that the Contribution is their original creation. If the Contributor is employed, they represent that they have received any necessary permissions from their employer to make this assignment.
8. Governing Law This Agreement shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles.
